Terms of Non-Disclosure

Overview

In the course of preparing and presenting its product offering, Edward Fields will disclose proprietary designs of textile floor coverings. This section sets forth the conditions under which you agree to perform in order to preserve Edward Fields’ intellectual property related to craftsmanship. Your voluntary use of this website and/or interactions with employees of Tai Ping for commercial purposes are indicative of acceptance of these non-disclosure obligations

Craftsmanship

Craftsmanship shall include all secret, substantial and identified means of design and production, materials, blends of materials and production techniques, expertise, technical and other information developed or acquired by Edward Fields and communicated or made available to you, including without limitation product samples and related ideas, concepts, methods, techniques, inventions, discoveries, data, formulae and specifications. You acknowledge that Tai Ping is the sole owner of related craftsmanship.

To this end, you agree to not to disclose the craftsmanship techniques to any third party (including but not limited to its subcontractors and/or service providers and/or suppliers) unless first obtaining prior written consent, and not to use the craftsmanship techniques other than for the sole purpose of assessing Edward Fields’ offer. In particular, you specifically agree to not disclose, cause or permit to be disclosed to any third party the samples provided by Tai Ping, and to not copy, reproduce or distribute to any person all or part of the craftsmanship techniques without Tai Ping’s prior written consent.

You are authorized to disclose the craftsmanship techniques to your own employees but exclusively on a need-to-know basis and exclusively for the purpose of assessing Edward Fields’ offer, and provided that its employees are bound by the same confidentiality obligations as those provided herein. Edward Fields shall be entitled to seek equitable relief by all available courses of actions against any breach of the present non-disclosure provisions.

Property Ownership

At any time upon request by Edward Fields, you will be required to return all elements of craftsmanship communicated by Edward Fields, and any copies or extracts thereof, including any samples, design renderings, notes or analyses which are derived from or contain any of Edward Fields’ craftsmanship techniques. You acknowledge that Edward Fields is the sole owner of all elements of craftsmanship.

Intellectual Property

Intellectual Property include all copyrights, design rights, patents, rights in inventions, trademarks, trade and business names, rights in databases, domain names and all other similar or equivalent rights subsisting now or in the future in any part of the world, in each case whether registered or unregistered, and including all applications for, and renewals or extensions of, such rights for their full term, on the designs and samples developed or acquired by Edward Fields and communicated or made available to you. You acknowledge that Edward Fields is the sole owner of all elements of intellectual property.

Governing Law

This agreement shall be governed by, and construed in accordance with, the laws of the United States of America.
